1. Introduction

1.1. These Terms and Conditions govern your use of Unla La Transit and the services provided therein. By accessing or using our application, you agree to comply with and be bound by these Terms. Please read them carefully. If you do not agree with any part of these Terms, you may not use our application.

1.2. These Terms are a legal agreement between you ("User," "you," or "your'') and Unla La Transit ("we", "us", "our", or the "Company"). It is important that you review these Terms, as well as our Privacy Policy, as they contain information about your rights and responsibilities when using our services.

2. Using the Unla La Transit app

2.1. Unla La Transit is a dedicated platform designed to facilitate seamless transportation experiences for both passengers and drivers. Our primary focus is to provide effortless travel, ensuring smooth transit and easy journeys for users and efficient means of transportation through a user-friendly mobile application. Unla La Transit operates as an intermediary between riders and drivers, offering on-demand transportation services. It operates as a user-centric transportation solution connecting passengers with registered drivers. The goal is to deliver a hassle-free, reliable, and comfortable travel experience through an intuitive mobile application.

2.2. Within the context of user engagement outlined in these terms and conditions, passengers are expected to use the user-friendly app to smoothly request rides, input destinations, and access transparent fare estimates. Real-time tracking features will be employed to keep passengers informed about the driver's location and estimated time of arrival. For drivers, compliance entails smoothly accepting ride requests through the app, utilizing navigation tools for effective route planning, and promptly receiving payments through the payment methods available in the application. This contributes to a streamlined and trouble-free earnings process in accordance with these terms and conditions.

2.3. Unla La Transit is dedicated to elevating user experience through intuitive interfaces, ensuring the app is user-friendly for both passengers and drivers. Emphasizing continuous improvement, we regularly update the app, incorporating valuable user feedback and integrating technological advancements to enhance overall functionality.

3. User Eligibility

3.1. By accessing and using Unla La Transit, you affirm and warrant that you meet the following eligibility criteria:

(a.) Our services are currently available within specific branches, and users must be within these designated areas to request rides. We are actively expanding our service coverage and may add more branches in the future. Users are encouraged to check our app or website for updates on newly added service areas.

(b.) We reserve the right to verify the location of users to ensure compliance with our geographical restrictions. Users may be required to provide additional information or documentation for location verification.

(c.) If we discover that a user is not within the specified service branches or attempts to use the service outside authorized areas, we may suspend or terminate their account without prior notice.

(d.) We reserve the right to modify our service branches and geographical restrictions at any time, including the addition of new branches. Users will be notified of any changes, and continued use of our services constitutes acceptance of the modified geographical restrictions.

4. User Accounts and Registration

4.1. Registration Process:

4.1.1. Customer/Passenger: Customers can register directly through the app by providing necessary information, including name and contact details. Account verification is completed through a one-time mobile OTP (One-Time Password) sent to the registered mobile number.

4.1.2. Drivers: Driver registration is conducted at Unla La Transit branch offices. Interested drivers must submit required documentation, undergo verification, and attend orientation sessions.

4.2. Confidentiality Responsibilities:

4.2.1. Customers/Passengers: Users are responsible for maintaining the confidentiality of their account information and the associated mobile number. Account access is protected by a one-time mobile OTP during login.

4.2.2. Drivers: Drivers are responsible for ensuring the confidentiality of their account information and the associated mobile number. Account access is protected by a one-time mobile OTP during login.

4.3. Security Measures:

4.3.1. Users are encouraged to keep their registered mobile numbers secure to prevent unauthorized access. Regularly updating contact details is advised to maintain accurate account information.

4.4. Unauthorized Access:

4.4.1. Users should promptly notify us of any unauthorized access or suspicious activity related to their accounts. We may implement additional security measures to protect user accounts.

4.5. Account Termination:

4.5.1. We reserve the right to suspend or terminate accounts if users fail to adhere to the confidentiality responsibilities outlined in these terms.

4.6. Responsibility Acknowledgment:

4.6.1. By registering and using our services, users acknowledge and accept their responsibilities for maintaining the confidentiality and security of their accounts through mobile OTP and email verification.

5. Payments and Billing

5.1. Transaction Fees:

5.1.1. Unla La Transit operates on a transaction-based model. Users will be charged a fee based on the transaction for each completed ride.

5.2. No Fixed Charges:

5.2.1. Unla La Transit does not collect fixed charges from any users. The payment model is designed to be transparent, with users paying a fee based on the transaction amount as the service fee.

5.3. Billing Procedures:

5.3.1. Users will be billed automatically based on the completed transactions through the application. The fee will be deducted from the total amount paid by the passenger or received by the driver.

5.4. Payment Terms:

5.4.1. Passengers are required to pay the total amount for the ride, which includes the fee, through the payment methods available in the application.

5.5. Receipts and Invoices:

5.5.1. Passengers will receive electronic receipts for each completed ride via the Unla La Transit app.

5.5.2. Passengers requiring additional documentation, such as invoices, should contact Unla La Transit customer support.

5.6. Subscription Policies:

5.6.1. Unla La Transit does not currently offer subscription services. Users will only be charged based on the fee for completed rides.

5.7. Refund Policy:

5.7.1. In the event of any discrepancy or issue with the transaction, users can reach out to our customer support through the in-app support system for resolution. Unla La Transit will investigate and process refunds if deemed necessary based on the circumstances of the issue.

5.8. Changes to Payment Terms:

5.8.1. Any changes to the payment terms, including the fee, will be communicated to users through the application. Users will be notified in advance of any modifications.

5.9. Security of Payment Information:

5.9.1. User payment information is stored securely, and Unla La Transit follows industry-standard practices to protect sensitive financial data. Users are encouraged to keep their payment details confidential.

5.10. Visibility:

5.9.1. Specific details regarding the fee structure are maintained confidentially to ensure user privacy.

5.11. Continuous Improvement:

5.11.1. Unla La Transit regularly reviews and improves its payment and billing procedures to ensure efficiency, accuracy, and user satisfaction.

6. User Conduct

6.1. Acceptable Behavior:

6.1.1.Users are expected to treat others with respect and courtesy when using the application. Communication with drivers and passengers should be polite and non-offensive. Compliance with local laws and regulations during the entire process is mandatory.

6.2. Unacceptable Behavior:

6.2.1. Any form of discrimination, harassment, or offensive language towards drivers, passengers, or Unla La Transit staff is strictly prohibited. Engaging in fraudulent activities, including the use of fake accounts or false information, is not allowed. Intentionally damaging the reputation of Unla La Transit, drivers, or fellow passengers through false reports or malicious behavior is considered unacceptable.

6.3. Prohibited Activities:

6.3.1. Users are prohibited from engaging in any illegal activities while using the application. Any attempt to manipulate or exploit the application, including the use of unauthorized software or scripts, is strictly prohibited. Solicitation of personal information from drivers or passengers for non-service-related purposes is not allowed.

6.4. Respect for Privacy:

6.4.1. Users must respect the privacy of others and refrain from recording, photographing, or sharing any media without explicit consent. Sharing contact details or attempting to connect with drivers or passengers outside the application for non-service-related reasons is prohibited.

6.5. Consequences of Violations:

6.5.1. Violation of these user conduct guidelines may result in the suspension or termination of the user's account. Unla La reserves the right to take legal action in cases of severe misconduct or violation of applicable laws.

6.6. Reporting Violations:

6.6.1. Users are encouraged to report any instances of unacceptable behavior or prohibited activities promptly. Reports can be submitted through the in-app support system, and Unla La Transit will investigate and take appropriate action.

6.7. Continuous Monitoring:

6.7.1. Unla La Transit actively monitors user conduct to ensure a safe and respectful environment for all users. Periodic reviews and updates of the user conduct guidelines may occur to address emerging issues or concerns.

7. Intellectual Property:

7.1. Ownership of Content:

7.1.1. All content, including but not limited to text, images, graphics, logos, icons, and software, available on Unla La Transit is the exclusive property of Unla La Corporation unless otherwise specified.

7.1.2. Users acknowledge that all intellectual property rights related to the application are owned by Unla La Corporation and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.1.3. Nothing in these Terms grants users any right to use the trademarks, logos, domain names, or other distinctive brand features of Unla La Corporation without the prior written consent of Unla La Corporation.

7.2. User-Generated Content and Intellectual Property Rights:

7.2.1 By submitting or uploading any content, including text, images, reviews, or comments, to the App, users grant Unla La Transit a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, and display the content in connection with the App.

7.2.2 Users represent and warrant that they have the necessary rights to grant the license mentioned in Section 7.2.1 and that the content does not violate any third-party rights, including intellectual property rights.

7.2.3 Unla La Transit reserves the right to remove any user-generated content that infringes upon the intellectual property rights of others or violates these Terms.

8. Privacy Policy:

8.1. Information Collection and Use:

8.1.1. For an enhanced user experience, our service may request certain personally identifiable information, including User location, ID (Optional), Contact number, Email, Name, Address, Image (Optional). This information is retained on your device and is not collected by us in any way, ensuring your privacy is maintained.

8.2. Third-Party Services:

8.2.1. The app may utilize third-party services, such as Google Play Services and Facebook, for enhanced functionality. Users are encouraged to refer to the privacy policies of these third-party service providers to understand how they collect and handle information.

8.3. Log Data:

8.3.1. In the event of an app error, we collect Log Data through third-party products on your phone. This includes information such as your device's Internet Protocol (“IP”) address, device name, operating system version, app configuration, the timestamp of your Service usage, and other relevant statistics.

8.4. Cookies:

8.4.1. While our Service does not use “cookies” explicitly, third-party code and libraries within the app may utilize them to collect information for service improvement. Users have the option to accept or refuse these cookies. If refused, it may impact the functionality of certain portions of the Service.

8.5. Service Providers:

8.5.1. We may engage third-party companies and individuals to support various aspects of our Service, such as facilitation, provision, or analysis. Users are informed that these third parties have access to their Personal Information solely for the purpose of performing assigned tasks on our behalf. However, they are contractually obligated not to disclose or use the information for any other purpose.

8.6.1. While we employ commercially acceptable means to protect your Personal Information, absolute security cannot be guaranteed. Users are encouraged to take personal precautions to safeguard their information.

9.2. User Authentication:

9.2.1. User accounts are protected through a robust authentication process, including mobile OTP and email verification codes, providing an additional layer of security.

9.3. Transaction Security:

9.3.1. Financial transactions conducted within the application are secured using industry-leading encryption standards to safeguard payment information and prevent unauthorized access.

9.4. Regular Security Audits:

9.4.1. Unla La Transit conducts regular security audits and assessments to identify and address potential vulnerabilities in our systems, ensuring continuous improvement in security protocols.

9.5. Data Storage:

9.5.1. User data is stored securely in compliance with data protection regulations. Measures are in place to prevent unauthorized access, and access to sensitive information is restricted to authorized personnel only.

9.6. Fraud Prevention:

9.6.1. Advanced fraud detection mechanisms are employed to monitor user activities and identify any suspicious behavior or transactions. Immediate action is taken to prevent fraudulent activities.

9.7. Device Security:

9.7.1. Users are encouraged to keep their devices secure by implementing the latest security updates and utilizing built-in security features. Unla La Transit is not responsible for security breaches resulting from compromised user devices.

9.8. Secure Third-Party Services:

9.8.1. Any third-party services used within the application undergo a thorough security assessment to ensure they meet the same high standards of data protection and user security.

9.9. Emergency Response Plan:

9.9.1. Unla La Transit has an emergency response plan in place to address security incidents promptly and effectively. This includes communication with affected users and relevant authorities.

9.10. User Education:

9.10.1. Users are provided with information and resources to enhance their awareness of security best practices. Regular updates and reminders are shared to keep users informed about potential risks and preventive measures.

9.11. Continuous Improvement:

9.11.1. Unla La Transit is committed to continuous improvement in security measures. We actively seek feedback from users and experts to identify areas for enhancement and promptly address emerging security concerns.

10.  Termination of Services

10.1. Circumstances for Termination:

10.1.1. Unla La Transit reserves the right to terminate a user's account or services under the following circumstances:

(a.) Violation of the Terms and Conditions or any applicable laws and regulations.

(b.) Engagement in fraudulent activities or providing false information.

(c.) Repeated violation of user conduct guidelines.

(d.) Any behavior that poses a threat to the safety, security, or well-being of other users, drivers, or Unla La Transit staff.

(e.) Non-compliance with payment obligations.

10.2. Process of Account Termination:

10.2.1. In the event that account termination is deemed necessary, Unla La Transit will provide notice to the user, specifying the reasons for the termination. Users will have the opportunity to respond and address any concerns or disputes within a specified timeframe. Unla La Transit will conduct a thorough investigation and make a final determination regarding the account termination.

10.3. Implications of Account Termination:

10.3.1. Upon account termination, users will lose access to the Unla La Transit services. Any outstanding financial obligations, including unpaid fees or charges, will become immediately due upon termination. Users will no longer be eligible to use Unla La Transit services in the future unless expressly reinstated by Unla La Transit after a review process.

10.4. Appeals Process:

10.4.1. Users have the right to appeal the decision of account termination. Appeals must be submitted through the designated channels within the specified timeframe. Unla La Transit will review appeals and consider additional information provided by the user before making a final determination.

10.5. Data Retention After Termination:

10.5.1. Unla La Transit retains certain user data for a limited period even after account termination. The retention is in compliance with applicable laws and regulations. Users can refer to the Privacy Policy for details on the retention and handling of personal information after termination.

10.6. Notice of Termination:

10.6.1. Users will receive a notice of termination through the contact information associated with their account. Unla La Transit reserves the right to terminate accounts without notice in cases of severe misconduct or violation of applicable laws.

10.7. Reinstatement:

10.7.1. In exceptional cases, Unla La Transit may consider reinstating a terminated account after a thorough review. Reinstatement is not guaranteed and is subject to Unla La Transit's discretion.

10.9. Review and Revision:

10.9.1. Unla La Transit may periodically review and revise the criteria for account termination to ensure alignment with evolving policies and legal requirements.

10.8. Continued Obligations:

10.8.1. Termination of services does not absolve users of any existing obligations, including outstanding payments or liabilities.

11. Dispute Resolution

11.1. Informal Resolution:

11.1.1. In the event of a dispute between a user and Unla La Transit, both parties are encouraged to first attempt to resolve the matter informally by contacting Unla La Transit's customer support through the in-app support system. Unla La Transit will make reasonable efforts to address and resolve the dispute in a fair and timely manner.

11.2. Mediation:

11.2.1. If an informal resolution is not possible, both parties agree to participate in non-binding mediation facilitated by a neutral third party. The mediator will assist in reaching a mutually agreeable resolution. Mediation is a voluntary process, and both parties retain the right to pursue other legal remedies if a resolution is not achieved through mediation.

11.3. Arbitration:

11.3.1. If mediation does not result in a resolution, any unresolved dispute, controversy, or claim arising out of or relating to the use of Unla La Transit services will be settled through binding arbitration. The arbitration will be conducted in accordance with the rules of the designated arbitration provider, and the arbitrator's decision will be final and binding on both parties. Arbitration may be conducted remotely or at a location mutually agreed upon by the parties.

11.4. Waiver of Class Action:

11.4.1. Users agree that any arbitration or legal proceedings will be conducted on an individual basis and not as a class, collective, or representative action. Users waive the right to participate in any class action or consolidated proceeding.

11.5. Governing Law:

11.5.1. The terms of arbitration and dispute resolution shall be governed by the laws of the jurisdiction in which Unla La Transit is registered or operates, without regard to its conflict of law principles.

11.6. Costs of Dispute Resolution:

1.6.1. Each party will bear their own costs associated with the dispute resolution process, including legal fees, unless otherwise determined by the arbitrator.

11.7. Exceptions:

11.7.1. Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to address violations or threats of violations of intellectual property rights, confidentiality, or unauthorized access to the services.

11.8. Opt-Out Provision:

11.8.1. Users have the option to opt-out of the arbitration provision by notifying Unla La Transit in writing within 30 days of accepting these Terms and Conditions. Opting out does not affect other provisions of the Terms.

11.10. Review and Revision:

11.10.1. Unla La Transit may periodically review and revise the dispute resolution process to ensure alignment with evolving legal standards and industry best practices.

11.9. Continued Use as Acceptance:

11.9.1. Continued use of Unla La Transit services after becoming aware of a dispute resolution provision constitutes acceptance of the dispute resolution process outlined in these Terms and Conditions.

12. Governing Law

12.1. This Agreement is governed by the laws of the Philippines, disregarding the choice or conflicts of law provisions of any jurisdiction. Any disputes, actions, claims, or causes of action arising out of or in connection with the Terms and Conditions of Use or the Service shall be exclusively subject to the jurisdiction of the courts of the Philippines, to which you hereby agree to submit.

13. Limitation of Liability

13.1. Service Interruptions:

13.1.1. Unla La Transit shall not be held liable for any interruptions, disruptions, or unavailability of its services, due to technical issues, maintenance, or unforeseen circumstances.

13.2. User Actions:

13.2.1. Users acknowledge and agree that Unla La Transit is not responsible for the actions, behavior, or conduct of other users, including drivers and customers/passengers, during the use of the services. Users assume the risks associated with interacting with other users and are encouraged to exercise caution and discretion.

13.3. Third-Party Services:

13.3.1. Unla La Transit may integrate third-party services, including payment processors and mapping services. The company is not responsible for the performance, actions, or any liabilities associated with these third-party services.

13.4. Indirect Damages:

13.4.1. To the maximum extent permitted by applicable law, Unla La Transit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

13.5. Disclaimer of Warranties:

13.5.1. Unla La Transit provides its services "as is" and "as available" without any warranties, expressed or implied. The company does not warrant the accuracy, completeness, or reliability of the services.

13.6. Financial Transactions:

13.6.1. Unla La Transit shall not be liable for any financial losses, damages, or liabilities arising from transactions between users, including payments made for rides.

13.7. Force Majeure:

13.7.1. Unla La Transit shall not be liable for any failure or delay in the performance of its obligations under these Terms and Conditions due to causes beyond its reasonable control, including but not limited to acts of nature, war, terrorism, or government actions.

13.8. Maximum Liability:

13.8.1. In no event shall Unla La Transit's total liability, whether in contract, tort (including negligence), or otherwise, exceed the total amount paid by the user to Unla La Transit during the twelve months preceding the claim.

13.9. Assumption of Risk:

13.9.1. Users acknowledge and assume all risks associated with the use of Unla La Transit services, and they agree that any claims or disputes arising from such use shall be limited as set forth in these Terms and Conditions.

13.10. Review and Revision:

13.11.1. Unla La Transit may periodically review and revise the limitation of liability provisions to ensure alignment with legal standards and industry best practices.

14. Updates and Changes

14.1. We reserve the right to update or modify these terms and conditions at our discretion, and such changes will take effect immediately upon being posted within Unla La Transit. It is your responsibility to regularly review these terms to stay informed of any updates. Users will receive notifications within the app, alerting them to any material changes in the terms and conditions. These in-app notifications will serve as your primary source of information regarding updates. It is crucial to check your app notifications regularly. Your continued use of Unla La Transit after the effective date of any modifications indicates your acceptance of the revised terms.

15. User Acknowledgment

15.1. By accessing and using Unla La Transit, you hereby acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this agreement. If you do not agree with any part of these terms, please refrain from using our services.

15.2. Your use of the platform implies your acceptance of all the terms and conditions outlined herein. It is your responsibility to review these terms regularly, as they may be subject to updates and modifications. Continued use of Unla La Transit after any changes to the terms indicates your acceptance of the revised terms.
